Tutor Services Agreement
This Tutor Services Agreement is between Ruvimo Learning Inc., 5900 Balcones Dr., Austin, Texas 78731, United States ("Ruvimo", "Company", "we", or "us") and the tutor or tutor applicant accepting these terms ("Tutor", "you", or "Contractor").
By creating or submitting a Ruvimo tutor profile, accepting a tutoring opportunity, joining a live class, or using Ruvimo systems, you agree to this Agreement, the Privacy Policy, Tutor Guidelines, safeguarding requirements, recording and data consent, and any opportunity-specific instructions shared by Ruvimo.
Important summary
- You are an independent contractor, not an employee, agent, partner, or franchisee of Ruvimo.
- Profile creation, approval, verification, or dashboard access does not guarantee student allocation, demos, sessions, payments, or onboarding.
- Ruvimo may review, record, audit, score, route, approve, pause, reject, or remove profiles and opportunities based on quality, fit, reliability, demand, and learner safety.
- You consent to Ruvimo using submitted profile information, media, session recordings, and teaching data for review, quality control, matching, training, safety, analytics, and approved profile listing.
- You must not solicit, contact, teach, contract with, or accept payments from Ruvimo students or families outside Ruvimo during the engagement and for 12 months after your last Ruvimo interaction with them.
1. Nature of engagement
You provide services as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, agency, or guaranteed engagement. You are responsible for your own taxes, registrations, licenses, insurance, equipment, work location, and legal compliance in your country or region. Ruvimo will not provide employee benefits, paid leave, retirement benefits, social security contributions, health insurance, unemployment insurance, workers' compensation, or similar statutory benefits unless required by applicable law.
2. Scope of services
Services may include online tutoring, trial or demo classes, student support sessions, homework support, enrichment classes, communication with Ruvimo teams, session summaries, preparation of teaching materials, participation in reviews or training, and any other education-related services accepted by you through Ruvimo systems.
Ruvimo operates an outcome-driven tutoring system. Tutors are expected to execute the academic plan, communication standards, and quality expectations shared by Ruvimo, while bringing their own subject expertise and teaching judgment to each session.
3. Review, approval, and allocation discretion
Ruvimo may review your profile, credentials, communication, teaching videos, interview performance, demo performance, availability, reliability, and learner fit. Approval, verification, or prior work with Ruvimo does not guarantee future sessions or student allocation. Ruvimo may accept, reject, pause, rank, re-route, or reassign tutors based on student needs, subject demand, scheduling, parent feedback, quality monitoring, and business requirements.
4. Teaching standards
You must conduct sessions professionally and prepare adequately for each student. Ruvimo expects clear concept explanation, calm classroom presence, student engagement, age-appropriate communication, punctuality, camera-on presence when required, structured teaching, and timely follow-up. You must comply with Tutor Guidelines, safeguarding practices, academic integrity rules, and any student-specific instructions shared by Ruvimo.
5. Availability and responsiveness
Most Ruvimo opportunities serve K-12 students in the United States. You should be comfortable with schedules that may align with US evening hours, weekends, or other student-friendly timings. You must respond promptly to Ruvimo communications, update your availability accurately, and avoid accepting sessions that you cannot reliably attend.
6. Professional conduct and learner safety
You must maintain respectful, safe, and professional communication with students, parents, Ruvimo staff, and other tutors. You may not use discriminatory, abusive, sexual, threatening, manipulative, or inappropriate language or behavior. You may not request unnecessary personal information from minors, conduct sessions outside approved channels, or communicate with students or parents through unapproved personal channels unless Ruvimo expressly allows it.
7. Technical requirements
You are responsible for maintaining a suitable device, stable internet connection, quiet teaching environment, camera and microphone, and any tools required for online tutoring. Depending on subject and student needs, Ruvimo may require use of a pen tablet, shared whiteboard, video platform, learning management tool, attendance system, or other approved software.
8. Session conduct, attendance, and reporting
You must join sessions on time, teach for the full scheduled duration, mark attendance accurately, and submit session notes, student updates, or parent-facing summaries where required. You must not mark a session complete if it did not occur or if the student was not present unless Ruvimo's no-show rules expressly allow a payment or attendance action.
9. Recordings, data, AI review, and profile use
You consent to Ruvimo recording or reviewing tutoring sessions, demo sessions, interviews, profile videos, uploaded media, chat messages, attendance records, and platform activity for quality control, training, safeguarding, dispute review, student support, analytics, AI-assisted review, routing, scoring, and product improvement. Ruvimo may use approved profile information, photos, videos, teaching materials, testimonials, and profile copy to evaluate you, show your profile internally, match you to opportunities, or list your profile publicly if approved.
By accepting this Agreement, you also consent to Ruvimo using your profile picture, bio, and other approved profile content on the Ruvimo website and in other marketing materials (including social media and promotional content). You may withdraw this consent at any time by contacting tutorhiring@ruvimo.com; Ruvimo will remove your content from future use but is not obligated to recall materials already published or distributed.
10. Payments and taxes
Payments, if any, are based on accepted opportunities, applicable payout bands, completed sessions, quality requirements, attendance records, and Ruvimo's payment policies. Ruvimo may change payout bands or opportunity rules with notice. You are responsible for raising any required invoice, providing accurate payout and tax information, and complying with tax, foreign exchange, and regulatory obligations in your country. Ruvimo may withhold or report taxes only where legally required.
Where shown, an estimated hourly rate is based on Ruvimo's pay structure for your country, grade band, and subject, and may be presented on your dashboard once you submit your profile. This estimate is for your reference only — it is not a guaranteed, final, or contractual rate, may differ from the rate actually confirmed for you, and may be changed by Ruvimo at any time without notice.
Creating a profile, being approved, joining the dashboard, completing a demo, or entering a verified pathway does not guarantee any minimum income, number of students, session volume, payout, or continued engagement.
11. Trial, demo, cancellation, and no-show policy
Ruvimo may offer trial classes, demo classes, urgent backup classes, or evaluation sessions. Payment eligibility for these sessions may depend on attendance, punctuality, parent or student participation, conversion status, class quality, reporting completion, and opportunity-specific terms. Ruvimo may pay reduced or no compensation for missed sessions, late joins, incomplete sessions, avoidable cancellations, technical failures within the tutor's control, poor-quality sessions, or non-compliance with instructions.
12. Performance monitoring and quality review
Ruvimo may audit sessions, review recordings, collect parent or student feedback, score tutoring performance, monitor reliability, and classify tutors into internal tiers or routing categories. Ruvimo may provide feedback, require training, reduce allocation, pause opportunities, request a new demo, or end the engagement based on performance, reliability, demand, or safety concerns.
13. Confidentiality
You must keep confidential all student information, parent information, Ruvimo systems, curriculum plans, pricing, internal processes, training materials, platform data, session records, and business information. You may not copy, publish, disclose, sell, transfer, or misuse confidential information except as necessary to deliver approved Ruvimo services.
14. Intellectual property
Ruvimo owns or retains rights to its brand, systems, platform, curriculum frameworks, training resources, operating procedures, student data, session records, profile systems, and internal materials. You retain ownership of your pre-existing teaching knowledge and original materials, but grant Ruvimo a worldwide, royalty-free license to use materials, profile content, videos, session outputs, and feedback you submit or create through Ruvimo for tutoring, review, quality, training, profile, and operational purposes.
15. Non-solicitation and outside contact
During your engagement with Ruvimo and for 12 months after your last interaction with a Ruvimo student, parent, lead, or family, you must not directly or indirectly solicit, teach, contract with, receive payment from, or provide competing services to that student or family outside Ruvimo. You must not encourage students or parents to move away from Ruvimo, share personal payment links, or bypass Ruvimo systems.
16. Competing engagements
You may provide services to other organizations unless doing so creates a conflict of interest, violates confidentiality, affects Ruvimo students, reduces reliability, or conflicts with opportunity-specific requirements. You must disclose any commitment that materially affects your ability to serve Ruvimo students reliably.
17. Termination and profile removal
Either party may stop participation in the platform or end an engagement at any time, subject to completion of accepted sessions, outstanding payments, confidentiality, non-solicitation, and other continuing obligations. Ruvimo may immediately suspend access, remove a profile, cancel opportunities, or terminate the engagement for misconduct, safeguarding concerns, dishonesty, poor reliability, confidentiality breach, repeated quality issues, or business reasons.
18. No outcome guarantee
Ruvimo and Tutor do not guarantee specific academic results, grades, test scores, admissions outcomes, student progress, parent satisfaction, session volume, or profile visibility. Tutors must use good-faith professional effort, follow Ruvimo standards, and communicate transparently about student progress and limitations.
19. Governing law and disputes
This Agreement is governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes in good faith. If a dispute cannot be resolved informally, it will be handled in a competent forum permitted under applicable law. Ruvimo may seek immediate injunctive or equitable relief for confidentiality, non-solicitation, intellectual property, or safeguarding breaches.
20. Updates and electronic acceptance
Ruvimo may update this Agreement, Tutor Guidelines, payment policies, privacy terms, or quality standards from time to time. Continued use of Ruvimo systems, profile submission, dashboard access, or acceptance of opportunities after notice means you accept the updated terms. Electronic acceptance, checkbox confirmation, profile submission, email confirmation, or platform activity may serve as acceptance.
