Accepted with your confirmed rates, before teaching begins

Ruvimo Tutor Services Agreement

This Agreement is between you, the tutor identified in the accompanying rate confirmation, and the Ruvimo company identified there. For tutors contracting from India, that company is Ruvimo Learning Private Limited. For tutors contracting from other countries, it is Ruvimo Learning Inc., 5900 Balcones Drive, Austin, Texas 78731, United States. That company is called Ruvimo, we or us below.

You accept this Agreement when you accept your finalized rate and the accompanying payment terms. Those details form part of this Agreement and are called your Confirmed Payment Terms. Your engagement begins on the start date stated there, or when you accept if no later date is stated. Acceptance must take place before you begin teaching Ruvimo students, including free trials.

The Tutor Portal Terms separately govern your application, account, profile and use of Ruvimo systems. This Agreement governs your tutoring engagement and takes priority if those Terms conflict with it on that subject.

Our Tutor and Applicant Privacy Notice explains how we handle your information. It is provided for your information, not as a separate agreement to sign.

1. Your engagement

You provide tutoring services as an independent contractor, not as our employee, agent or partner. You may not enter into commitments or make promises on Ruvimo's behalf without our written authorization. Nothing here removes rights or obligations that apply by law regardless of how the relationship is described.

You are responsible for the equipment, work location, registrations, permissions, insurance and taxes required for your work. Employee benefits are not included unless applicable law requires them.

Services may include tutoring, free trials, homework support, enrichment, session preparation, lesson notes, family updates through approved channels, and agreed reviews or training. Ruvimo sets the required service and safety standards; you bring your own subject expertise and professional teaching judgment.

You may work for other organizations and your own clients, subject to confidentiality, accepted session commitments and Section 9. Keep your availability accurate and tell us about commitments that materially affect your ability to teach assigned students reliably.

We match and allocate students based on fit, demand, availability, reliability and teaching quality. Selection or a confirmed rate does not guarantee a minimum income, number of sessions or continued allocation. We may change assignments when student needs or business requirements change.

2. Teaching and session responsibilities

Prepare for each student, join on time and teach for the agreed duration. Maintain a suitable device, stable internet connection, a quiet environment, camera and microphone, and any agreed teaching tools.

Follow the Ruvimo Loop: establish the student's starting point; teach with scaffolding; provide practice; verify understanding through independent work and explanation; reflect; and record the next step with a clear parent update. Adapt delivery to the student's needs rather than following a rigid script.

Keep attendance, session records and lesson notes accurate. Do not record a session as taught when it was missed or incomplete. Any payable cancellation or no-show must be recorded as such, not as teaching that occurred.

Follow the Tutor Guidelines and student-specific requirements made available to you. Do not complete assessments on a student's behalf, impersonate a student or promise a particular grade, score or admission result. Communicate progress and limitations honestly.

3. Rates and payment

Your Confirmed Payment Terms specify the applicable rates and currency, the paid unit of work, payment schedule, invoice requirements, applicable fees, and any different rules for free trials, assessments, cancellations or no-shows. They also identify which preparation, reporting or other agreed work is included in the teaching rate or paid separately.

Your confirmed rates, not an indicative website or dashboard estimate, determine your pay. Different subjects, grade bands or session types may have different confirmed rates. Any later rate change must be communicated and accepted for future work; it does not reduce pay already earned.

We calculate payment using the agreed rules and verified service records. Supply accurate payment and tax details and any required invoice. Raise discrepancies through your Ruvimo contact or the Portal so we can review the relevant records.

We may deduct or report taxes where legally required, including applicable Indian tax deducted at source. Payment-processing or currency-conversion fees borne by you must be identified in the Confirmed Payment Terms. Ruvimo will not impose an undisclosed deduction or automatic penalty through a later Portal Terms update.

If an amount is disputed, we will explain the reason and give you an opportunity to provide relevant information. Undisputed amounts remain payable under the agreed schedule. Nothing in this Agreement makes earned pay conditional on your waiving a complaint or legal right.

4. Cancellations and missed sessions

Accept only sessions you can reliably attend. If you cannot attend or a technical problem arises, notify Ruvimo promptly through the approved channels and follow the applicable cancellation process. Do not appoint a substitute or transfer a session to another person without our approval.

The payment consequences of a missed session, late arrival, incomplete session, avoidable cancellation or technical failure are governed by the rules disclosed in your Confirmed Payment Terms before you accept the work. Those rules must also explain payment for student cancellations and no-shows, and any free-trial payment conditions, including conversion conditions if applicable.

A family's cancellation or refund policy does not by itself determine tutor pay. A payment adjustment for disputed quality must follow the agreed rules and review process, not an undisclosed standard applied afterwards.

5. Student safety and professional boundaries

Maintain respectful, age-appropriate communication. Do not harass, discriminate, threaten, sexualize an interaction, request secrecy, seek unnecessary personal information or develop inappropriate personal relationships with students.

Keep sessions and student or parent communications on Ruvimo-approved channels. Do not add minors to personal social accounts, arrange private meetings, request money or gifts, or send personal payment links. Any exception to approved communication channels requires Ruvimo's authorization and must remain consistent with student safety requirements.

Report suspected abuse, inappropriate contact, threats, exposed student information or other safety concerns promptly to Ruvimo. Preserve relevant evidence securely and follow incident instructions. Nothing here prevents or delays a report to emergency services, regulators or other authorities, including a report required by law.

6. Recordings and quality review

You consent to Ruvimo recording and transcribing your participation in tutoring sessions, free trials and work-related meetings or calls, and reviewing your service records, including with AI-assisted tools, for student support, quality, tutor development, safety and service improvement. Relevant session records may be shared with authorized members of the student's family through approved processes.

Follow any recording exception expressly approved by Ruvimo. Do not make personal recordings, disable required recording or share a recording independently.

We may provide feedback, require an appropriate improvement or training step, change allocation, request a teaching assessment or end the engagement based on quality, reliability or safety concerns. Tell us if a transcript or assessment contains a material error.

The Tutor and Applicant Privacy Notice explains the related information handling and choices. Your consent covers your participation; it does not replace permissions required from students, parents or other participants.

7. Confidentiality and student information

Use student and family information only for your authorized Ruvimo work. Keep non-public learning records, contact details, recordings, pricing, business information and internal materials confidential during and after the engagement.

Use approved systems and protect your devices and sign-in credentials. Do not copy information into personal storage, share it with unauthorized people, or upload student information or recordings to unapproved AI tools or other services. Report suspected unauthorized access or disclosure promptly.

Return or securely delete Ruvimo information outside approved systems when it is no longer needed or when instructed, subject to lawful preservation requirements. Tell us if a legal obligation requires you to retain a copy and keep it protected. Confidentiality does not prevent legally protected disclosures or reporting wrongdoing.

8. Teaching materials and intellectual property

Ruvimo and other rights holders retain their rights in the platform, brand, curriculum frameworks, training resources and materials they provide. Access does not transfer ownership or authorize use for a competing business.

You retain ownership of your pre-existing and original teaching materials. For material you provide or create for Ruvimo sessions, you grant Ruvimo a non-exclusive, worldwide, royalty-free license to store, reproduce, adapt and use it for delivering tutoring, student continuity, quality review, tutor development and service operations, including through service providers acting for us. This permission continues after the engagement for those purposes, subject to privacy obligations and applicable law.

Use only material you own, have permission to use or may otherwise lawfully use. Do not distribute pirated resources or assume that educational use permits copying an entire work. Tell us promptly about an ownership or permission complaint and cooperate with review or removal.

Public use of your approved tutor profile is addressed in the Tutor Portal Terms. This section does not give you permission to publish a student's work, identity or recording.

9. Ruvimo introductions and outside tutoring

During the engagement and, to the extent permitted by applicable law, for 12 months after your last Ruvimo tutoring or service interaction with the relevant family, you must not use Ruvimo's introduction or confidential information to solicit, divert, arrange or accept competing tutoring directly from that student or family without our written approval. This covers relevant leads and free-trial families as well as enrolled families.

Do not encourage a family to bypass Ruvimo, route payments through another person or conceal an outside arrangement. Let us know if a Ruvimo family approaches you about one.

This restriction does not prevent unrelated work, general advertising or a genuine independent tutoring relationship that existed before Ruvimo's introduction. It imposes no automatic fine or right to withhold earned pay. Confidentiality and student-safety obligations apply independently.

10. Ending the engagement

Either party may end the engagement by notifying the other. Coordinate the cancellation or handover of accepted sessions so students are not left without notice or support. Ruvimo may remove you from sessions or end the engagement immediately for safety concerns, dishonesty, serious misconduct, confidentiality breaches, repeated quality or reliability failures, or other business reasons.

Ending the engagement does not cancel payment already earned. Outstanding payment is handled under the Confirmed Payment Terms. Stop representing yourself as an active Ruvimo tutor and return or delete information as required by Section 7.

Confidentiality, valid material licenses, accrued payment obligations, Section 9 within its stated limits, and provisions needed to resolve disputes continue after the engagement ends.

11. Changes and document priority

We will notify you of material changes to this Agreement and obtain renewed acceptance before those changes take effect for you. Confirmed rate changes may be accepted separately without signing the full Agreement again.

We may update operational guidance, teaching resources and safety procedures with notice. Those updates do not silently change your confirmed pay or amend this Agreement. Immediate protective steps may be taken where safety or law requires them.

An expressly agreed payment detail takes priority for that detail. This Agreement otherwise governs the engagement, and the Tutor Portal Terms govern platform use. No document retrospectively removes earned payment or accrued rights. An earlier engagement agreement is replaced only to the extent expressly identified when you accept this one.

12. Disputes and contact

Texas law governs this Agreement, subject to applicable federal law and mandatory protections where you work or reside. First raise concerns with your Ruvimo contact so we can try to resolve them. Unresolved disputes may be brought in a competent court permitted by applicable law. Either party may seek urgent protective relief without first completing an internal process.

If a provision cannot lawfully be enforced, the remaining provisions continue to apply. Neither this Agreement nor its contractor description excludes rights or liabilities that cannot lawfully be excluded. Delayed enforcement does not waive a right.
